⚠️ CRITICAL NOTICE: MANDATORY PRE-PRODUCTION TESTING & VERIFICATION CobolIQ and DecodeIQ are developer productivity, static analysis, AST decomposition, and architectural discovery tools. All software outputs, code generation, transpilation, and JCL patches are provided "AS IS". Licensee is strictly required to test, benchmark, and verify all code in dedicated non-production environments before any production deployment.

1. Acceptance of Terms & Software Scope

By downloading, installing, compiling, executing, purchasing, or utilizing CobolIQ, DecodeIQ, GnuCobolRapid, or any associated command-line interfaces (CLI), WASM engines, MCP servers, or binary runtimes (collectively, the "Software"), you (the "Licensee" or "Customer") agree to be legally bound by this Agreement.

If you are accepting this Agreement on behalf of a company, enterprise, financial institution, or government agency, you represent and warrant that you have full legal authority to bind such entity to these Terms.

1.1 Nature of the Utility

The Software is an offline, deterministic developer engineering utility designed to assist software engineers, systems programmers, and enterprise architects in:

Extracting Abstract Syntax Tree (AST) topologies and data lineage from legacy codebases (COBOL, JCL, RPG, CICS, PL/I).
Performing static interval arithmetic and formal logic verification.
Generating target-agnostic modernization artifacts (e.g. program.openapi.json, screen.dspfd.json, lineage.graph.json, Rust/C++ transpilations).
Analyzing batch execution graphs and estimating I/O and FinOps resource optimizations.

2. Mandatory Testing & Pre-Production Verification Mandate

2.1 Duty of Independent Verification: Licensee explicitly acknowledges that computer code modernization and legacy refactoring carry inherent operational risks. The Software assists human engineers and automated pipelines, but does NOT replace professional software engineering practices, compiler verification, or comprehensive quality assurance.

2.2 Mandatory Non-Production Requirement: Licensee agrees that NO code, formula, database mapping, transpiled module, or JCL modification produced directly or indirectly by the Software shall be deployed to live production, financial clearing, healthcare adjudication, regulatory reporting, or customer-facing transactional systems WITHOUT prior execution of:

Unit tests covering 100% of mathematical boundary and exception conditions (including ON SIZE ERROR, overflow, and precision boundaries).
Side-by-side golden data parity testing comparing legacy output against modernized execution.
End-to-End (E2E) integration testing and User Acceptance Testing (UAT).
Load, concurrency, and stress testing in isolated staging/sandbox environments.

2.3 Sole Licensee Responsibility: Licensee assumes full and exclusive responsibility for the implementation, validation, regulatory compliance (including DORA, GDPR, HIPAA, and Sarbanes-Oxley), and ongoing operation of all software derived using the Software.

3. "AS-IS" Software Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.

COBOLIQ SYSTEMS AND ITS CONTRIBUTORS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, ERROR-FREE OPERATION, SYSTEM INTEGRATION, OR NON-INFRINGEMENT.

COBOLIQ SYSTEMS DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET LICENSEE'S SPECIFIC OPERATIONAL REQUIREMENTS, THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE SOFTWARE OR TARGET SYSTEMS WILL BE CORRECTED.

4. Limitation of Liability & Maximum Damages Cap

4.1 Exclusion of Consequential & Operational Damages: Under no legal theory (whether in contract, tort, negligence, strict liability, indemnity, or otherwise) shall CobolIQ Systems, its founders, developers, affiliates, or licensors be liable to Licensee or any third party for any indirect, incidental, special, exemplary, punitive, or consequential damages, including but not limited to:

Loss of business, revenue, profits, or goodwill.
Data corruption, ledger arithmetic divergence, or mainframe database lockups.
Mainframe MIPS / CPU consumption charges or cloud infrastructure billing overruns.
Regulatory penalties, audit fines, compliance clawbacks, or operational downtime.

4.2 Absolute Liability Cap: In all circumstances, the total aggregate liability of CobolIQ Systems arising out of or related to this Agreement or the use of the Software shall be strictly limited to the actual amount paid by Licensee for the Software license in the twelve (12) months preceding the event giving rise to liability, or USD $100.00, whichever is greater.

5. Intellectual Property & Output Ownership

5.1 Customer Retains 100% Ownership of Code & Artifacts: CobolIQ Systems claims NO intellectual property rights, royalties, or ownership in:

Any source code provided as input by the Licensee.
Any generated AST outputs, OpenAPI schemas, JSON screen descriptors (.dspfd), dataflow graphs, or transpiled Rust/C++/Python/Java source code.

All modernized business logic, extracted rules, and compiled applications belong 100% exclusively to the Licensee, with Zero Runtime Lock-In and Zero Recurring Runtime Royalties.

5.2 Proprietary Compiler Engine: CobolIQ Systems retains all right, title, and interest in and to the underlying compiler binary engine, AST parsing algorithms, interval arithmetic models, and proprietary token-slot concurrency architectures.

6. Air-Gapped Privacy & Zero Telemetry Guarantee

6.1 On-Premise Execution: The Software is engineered to execute strictly within Licensee's local environment, private cloud, or air-gapped mainframe development infrastructure.

6.2 Zero Data Retention & No Call-Home:

The Software transmits NO source code, telemetry, metadata, or diagnostic traces to external servers.
Cryptographic license keys (Solo Pro, Team Squad, Enterprise Site) are validated offline using local Ed25519 asymmetric signature checks.
No network connection is required or established during code analysis, compilation, or transformation.

7. Licensing Tiers & Activation

Diagnostic Scanner (Free Tier): Granted on a non-exclusive, revocable basis for local single-file health scans and non-commercial assessment. Watermarked with NOT FOR PRODUCTION/REGULATORY CERTIFICATION.
Solo Pro & Team Squad Licenses: Granted as non-exclusive, non-transferable subscription licenses tied to active cryptographic tokens for professional architectural analysis and engineering discovery.
Enterprise Node / Site Licenses: Granted pursuant to formal purchase orders, allowing perpetual or annual air-gapped deployment across specified physical cores and server nodes.

8. Termination & Governing Law

This Agreement remains effective until terminated. Licensee may terminate at any time by ceasing all use and destroying all copies of the Software binary and license tokens. CobolIQ Systems may terminate access immediately upon material breach of these Terms.

This Agreement shall be governed by and construed in accordance with the laws of the European Union and international commercial software conventions, without regard to conflicts of law principles.
